Want long-term, recurring referral income plus optional success bonuses on exits/acquisitions.
Equity Scouts act as the bridge between local market opportunity and Diguct’s operational growth engine.
3. What an Equity Scout is (short)
An Equity Scout:
Is a non-operational referrer — you do not perform clinical services.
Can be from any background (investor, business consultant, ex-clinic manager, hospitality operator, lawyer, local entrepreneur).
Identifies and qualifies clinic leads, makes introductions, and helps shepherd initial interest to an introductory call.
Earns commissions and potential success bonuses on conversion and later equity outcomes.
4. Full responsibilities & expected workflow (very detailed)
Market Scouting & Lead Sourcing
Use local knowledge, industry events, community groups, and private referrals to find clinics that fit Diguct’s ICP (injection services, €10k–€100k+/month, ready to scale).
Maintain a private log (spreadsheet or CRM) of prospects, dates, contact persons, and status.
Initial Qualification (pre-intro)
Quick qualification checklist (we provide): revenue band, service mix (injectables), owner openness to scale/partnership, basic compliance red flags.
Only send qualified prospects. Unqualified leads reduce your credibility.
Introduction
Make an official introduction via WhatsApp/Email/Zoom (we provide templates).
Copy Diguct’s partnerships inbox ([email protected]) on the intro so the team can immediately follow up.
Pitch Support
Use Diguct’s scripts, pitch deck and short explainer videos. You’re the opener — Diguct handles the full pitch, strategy call, SOW, and onboarding.
Light Follow-Up
Keep the prospect warm if asked. A short follow-up at 3–7 days is often enough. Do not provide consultancy or make promises beyond Diguct’s standard offering.
Handover & Confidentiality
All handovers are documented. Scouts must sign Diguct’s Scout NDA & Referral Agreement before receiving commission templates or dashboards.
Payment & Commission Tracking
Track referred prospects and payout milestones via the Diguct Scout Dashboard (invite-only). Payments are processed after contract signing and receipt of upfront fee.
Ongoing Relationship (optional)

Willingness to invest in growth and undergo an audit/sprint.
No major unresolved legal/regulatory issues.
Preferably: some team, basic CRM or willingness to adopt SaaS.
6. Commission & compensation (comprehensive)
Scouts are paid once the referred clinic signs a Diguct SOW and pays the upfront fee. Commission structure:
Profit Foundation (upfront €20,000) → Scout commission €2,000 (10%)
Growth Intensive (upfront €40,000) → Scout commission €4,000 (10%)
Pro Accelerator (upfront €60,000) → Scout commission €5,000–€6,000 (≈8–10%)
Additional payouts & bonuses
Success Bonus: If the clinic later converts to acquisition/equity deal with Diguct and the scout was the primary referrer, the scout may be eligible for a one-time success bonus (negotiable per deal).
Higher-tier roles: Scouts that consistently perform may receive priority first-look at franchise broker roles, local roll-ups, or regional partnership share options (terms negotiated on a case-by-case basis).
Payment timing & process
Commission paid within 14 business days after Diguct receives and clears the clinic’s upfront fee.
All payments are subject to a compliance check (documents, KYC, proof of payment).
Payments issued to approved bank transfer or Wise account; taxes and reporting are the scout’s responsibility.
7. Legal, compliance, and GDPR obligations
Scouts must sign Diguct’s Scout Agreement and Mutual NDA.
Scouts will be trained on how to handle personal data — any collection of client personal data must be handed to Diguct immediately and logged.
Do not share patient medical records or sensitive health data. Any transfer of such data must only occur under a DPA and explicit written instruction from Diguct.
Scouts are independent contractors — they are responsible for their own tax, reporting, and local legal obligations.

9. Territory protection, exclusivity & performance review
Diguct offers territory exclusivity to top-performing scouts in selected regions (one scout per city/region depending on demand and quality).
Performance reviews are quarterly. Underperforming scouts may lose exclusivity; high-performing scouts can earn exclusivity and higher commission tiers.

12. Payment mechanics, taxes & invoicing (detailed)
Diguct issues scout commission payments after invoicing the scout or upon receipt of a completed payment form depending on the scout’s tax status (individual or company).
Scouts supply a W-9/Tax ID / local equivalent if required per jurisdiction.
Diguct will withhold or report payments as required by local tax law when applicable; the scout must consult local tax counsel for liabilities.
All invoicing and payout documentation is stored in the Scout Dashboard.
13. Termination, disputes & code of conduct
Either party may terminate the Scout Agreement with 30 days’ written notice.
Fraud, misrepresentation, or violation of NDA/GDPR results in immediate termination and forfeit of pending commissions.
Disputes resolved first via internal mediation; unresolved matters follow the dispute resolution clause in the Scout Agreement (arbitration under Netherlands law for EU cases, negotiation for local).
